1. Agreement to Terms
Welcome to Jobonic. These Terms and Conditions constitute a legally binding agreement between you and Jobonic regarding your access to and use of the Jobonic website at https://www.jobonic.io, our mobile applications, and all related services (collectively, the "Platform").
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Platform.
We reserve the right to modify these Terms at any time. Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms.
2. Eligibility and Account Registration
a. Age Requirement
You must be at least 18 years old to use Jobonic. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
b. Account Creation
When you create an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access or security breach
c. Account Types
Jobonic offers two primary account types:
- Freelancer Accounts: For individuals offering services
- Client Accounts: For individuals or businesses seeking to hire freelancers
You may maintain both account types but must comply with all applicable Terms for each role.
3. Platform Services
a. Service Overview
Jobonic provides a marketplace platform that connects freelancers with clients. Our services include:
- Job posting and search functionality
- Proposal submission and contract management
- Integrated messaging and communication tools
- Payment processing and escrow services
- Rating and review systems
- Dispute resolution assistance
- Profile and portfolio hosting
b. Platform Role
Jobonic acts as an intermediary platform and is not a party to the actual contracts between freelancers and clients. We do not employ freelancers, nor do we guarantee the quality, safety, or legality of services provided. Users are solely responsible for their interactions, agreements, and transactions with other users.
4. User Responsibilities and Conduct
a. Prohibited Activities
You agree not to:
- Violate any laws, regulations, or third-party rights
- Post false, misleading, or fraudulent content
- Engage in harassment, discrimination, or abusive behavior
- Use the Platform to conduct illegal activities
- Attempt to circumvent platform fees or payment systems
- Create multiple accounts to manipulate reviews or ratings
- Share account credentials with others
- Scrape, data mine, or use automated systems to access the Platform
- Upload malware, viruses, or malicious code
- Infringe on intellectual property rights of others
- Attempt to bypass security measures or gain unauthorized access
- Impersonate another person or entity
b. Content Standards
All content you post must:
- Be accurate and truthful
- Not contain hate speech, violent, or sexually explicit material
- Not promote illegal activities or substances
- Respect intellectual property rights
- Be relevant to the Platform's purpose
c. Professional Conduct
Users are expected to maintain professional standards in all communications and transactions. This includes responding to messages promptly, honoring commitments, delivering work as promised, and treating all users with respect.
5. Payment Terms
a. Service Fees
Jobonic charges service fees for facilitating transactions on the Platform. Fee structures are published separately and may vary based on account type, transaction volume, and other factors. We reserve the right to modify our fee structure with reasonable notice to users.
b. Payment Processing
All payments are processed through our integrated payment partners, Stripe and PayNi. By using the Platform, you agree to comply with the terms and conditions of these payment processors. Jobonic is not responsible for payment processing errors or delays caused by third-party providers.
c. Escrow and Release
For fixed-price contracts, funds may be held in escrow until work is completed and approved. Clients must release funds within a reasonable timeframe after work completion. Failure to release or dispute funds may result in automatic release after the specified period.
d. Refunds and Chargebacks
Refund requests must be submitted through our dispute resolution process. Initiating chargebacks through your payment provider without first attempting to resolve the issue through Jobonic may result in account suspension. We reserve the right to investigate and take appropriate action on fraudulent chargeback claims.
e. Taxes
Users are solely responsible for determining and paying all applicable taxes related to their use of the Platform. Jobonic may be required to collect and remit certain taxes as required by law. Users agree to provide necessary tax information and documentation upon request.
6. Intellectual Property Rights
a. Platform Content
The Platform, including its design, features, functionality, text, graphics, logos, and software, is owned by Jobonic and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
b. User Content License
By posting content on the Platform, you grant Jobonic a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of operating and promoting the Platform. This license continues even after you stop using the Platform for content that has been shared with other users.
c. Work Product Ownership
Ownership of work product created through contracts on the Platform is determined by the agreement between the freelancer and client. Unless otherwise specified in writing, freelancers retain ownership until full payment is received, at which point ownership transfers to the client.
d. Copyright Infringement
We respect intellectual property rights and expect users to do the same. If you believe content on the Platform infringes your copyright, please contact us at support@jobonic.io with detailed information about the alleged infringement. We will investigate and take appropriate action, which may include removing the content and suspending repeat offenders.
7. Dispute Resolution
a. Internal Dispute Process
In the event of a dispute between users, we encourage parties to first attempt to resolve the matter directly. If direct resolution fails, users may request Jobonic's assistance through our dispute resolution process. We will review submitted evidence and make a determination in good faith, but our decision is not legally binding.
b. Mediation and Arbitration
For disputes that cannot be resolved through our internal process, parties agree to first attempt mediation. If mediation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration organization. Each party shall bear their own costs unless the arbitrator determines otherwise.
c. Class Action Waiver
You agree that disputes with Jobonic will be resolved on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
8. Limitation of Liability
To the maximum extent permitted by law, Jobonic and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from:
- Your use or inability to use the Platform
- Any unauthorized access to or alteration of your data
- Statements or conduct of any third party on the Platform
- Any disputes between users
- Any errors, mistakes, or inaccuracies of content
- Personal injury or property damage resulting from your use
- Any interruption or cessation of transmission to or from the Platform
Our total liability to you for any claims arising from your use of the Platform shall not exceed the amount you paid to Jobonic in service fees during the twelve months preceding the claim, or one hundred dollars, whichever is greater.
9. Indemnification
You agree to indemnify, defend, and hold harmless Jobonic and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising from your use of the Platform, violation of these Terms, infringement of any intellectual property or other rights, or any conduct on the Platform.
10. Account Suspension and Termination
a. Termination by You
You may terminate your account at any time by contacting support@jobonic.io. Upon termination, you remain responsible for any outstanding obligations, including payment of fees and completion of active contracts.
b. Termination by Jobonic
We reserve the right to suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or for any other reason we deem necessary to protect the Platform or other users. We are not liable for any loss or damage resulting from suspension or termination.
c. Effect of Termination
Upon termination, your right to access and use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Disclaimers and Warranties
a. Platform Availability
The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without liability.
b. User Verification
While we may implement verification measures, we do not guarantee the identity, credentials, or qualifications of any user. You are solely responsible for evaluating and verifying the suitability of users you interact with.
c. Third-Party Services
The Platform may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of these third parties. Your use of third-party services is at your own risk and subject to their terms and conditions.
12. Confidentiality and Non-Circumvention
a. Platform Information
You acknowledge that the Platform's features, algorithms, and business methods constitute confidential and proprietary information. You agree not to disclose, copy, or use this information except as necessary to use the Platform.
b. Fee Circumvention
You agree not to circumvent the payment of fees by conducting transactions outside the Platform with users you initially connected with through Jobonic. This prohibition applies for the duration of your relationship with such users or for 24 months after initial contact, whichever is longer.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Jobonic is registered, without regard to conflict of law principles. Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of that jurisdiction, and you consent to the personal jurisdiction of such courts.
14. General Provisions
a. Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Jobonic regarding use of the Platform.
b. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
c. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Jobonic.
d. Assignment
You may not assign or transfer these Terms or your account to any third party without our prior written consent. We may assign these Terms or delegate our obligations without restriction.
e. Force Majeure
Jobonic shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, governmental actions, or internet service failures.
